Terms & Conditions

These Terms and Conditions ("Agreement") govern your use of the Nyxlearn website at nyxlearn.blog and your enrolment in any Nyxlearn course or programme. By submitting an enquiry form, paying a course fee, or participating in a Nyxlearn programme, you agree to these terms. Questions can be directed to [email protected].
1. Definitions
- "Nyxlearn", "we", "us", "our" — refers to Nyxlearn, registered at 45 Jalan Pinang, 50450 Kuala Lumpur, Malaysia.
- "You", "participant", "user" — the individual or, in the case of the Team Capability Programme, the employing organisation that enters into an agreement with Nyxlearn.
- "Programme" or "course" — any of the structured learning programmes offered by Nyxlearn, including Foundations of Machine Learning, Applied Language Model Engineering, and the Team Capability Programme.
- "Content" — all materials produced by Nyxlearn for delivery in a programme, including slides, exercises, assignments, session recordings, and written documentation.
- "Completion record" — a written document issued by Nyxlearn upon successful completion of a programme. Not an academic qualification.
2. Acceptance of terms
By submitting an enquiry form or completing enrolment, you confirm that you have read and agree to these terms. You must be at least 18 years of age to enrol. For the Team Capability Programme, the person completing enrolment on behalf of an organisation confirms they have authority to bind that organisation.
These terms apply to all Nyxlearn courses. Any variations agreed in writing (for example, a custom scope for the Team Capability Programme) take precedence over these standard terms only to the extent they conflict.
3. Programme description and availability
Nyxlearn offers three programmes delivered online with live sessions scheduled in the MYT (UTC+8) timezone. Individual courses (Foundations and LLM Engineering) are delivered to mixed cohorts of up to 24 participants. The Team Capability Programme is delivered exclusively to a single employer's team.
Programmes are described in full on our Solutions page, including prerequisites, workload, and assessment method. Nyxlearn reserves the right to reschedule sessions where a tutor is unavailable; rescheduled sessions will be offered within the programme duration at no additional cost.
Nyxlearn does not operate outside Malaysia for regulatory or tax purposes. Participants may be located anywhere, but the contract is formed and governed under Malaysian law.
4. Enrolment and prerequisites
Enrolment is confirmed upon receipt of full payment. A self-assessment checklist is published for each course. Nyxlearn relies on participants to complete this honestly before enrolling. If a participant lacks the stated prerequisites and this becomes apparent during the programme, Nyxlearn will discuss options with the participant, which may include deferral to a later cohort, but no refund is owed on this basis alone.
For the Team Capability Programme, enrolment is confirmed once both parties have signed the scope document produced after the capability review and payment has been received.
5. Payment and cancellation
5.1 Fees
All fees are quoted and charged in Malaysian Ringgit (RM). Full payment is required before a cohort place is reserved. The Team Capability Programme may be paid in agreed instalments as documented in the scope agreement.
5.2 Cancellation by participant
- Cancellation 14 or more calendar days before programme start: full refund minus a RM 200 processing fee.
- Cancellation 7–13 calendar days before start: 50% refund.
- Cancellation fewer than 7 days before start, or after the programme has begun: no refund. Deferral to the next available cohort may be offered at Nyxlearn's discretion.
5.3 Cancellation by Nyxlearn
If Nyxlearn cancels a cohort before it begins, a full refund of all fees paid will be issued within 14 days. Nyxlearn is not liable for any other costs incurred by participants as a result of the cancellation.
6. Intellectual property
All Content produced by Nyxlearn — including slides, exercises, written materials, code examples, and session recordings made available by Nyxlearn — remains the intellectual property of Nyxlearn. Participants are granted a personal, non-transferable, non-exclusive licence to use Content for their own learning during and after the programme.
This licence does not permit: redistribution, resale, reproduction in a competing course, or sharing of Content with persons who have not enrolled in the programme.
For the Team Capability Programme, the written curriculum handover document and session recordings delivered to the employer are licensed for internal use within the employing organisation, including for onboarding new staff. They may not be shared externally or used to deliver training to third parties.
7. Academic integrity and conduct
Assignment submissions must be the participant's own work. Use of AI-generated code or text as a substantial component of a submission without disclosure is not permitted. Where a tutor has reason to believe a submission is not the participant's own work, Nyxlearn may withhold the completion record and will discuss the matter with the participant directly.
Participants are expected to engage with live sessions respectfully. Nyxlearn may remove a participant from a session or from the programme if their conduct is disruptive or abusive. In such cases no refund is owed for the remaining programme.
8. Completion records
A written record of completion is issued to participants who attend the required sessions and meet the assessment criteria for their course. Completion records state the course name, the dates of participation, and the assessment components completed.
Completion records are not academic qualifications, do not carry professional accreditation, and are not issued by an institution recognised under the Malaysian Qualifications Framework or any equivalent framework. Nyxlearn does not make representations about how employers or educational institutions will treat a completion record.
9. Disclaimers
Programmes are provided on an "as available" basis. Nyxlearn does not warrant that participation in any programme will result in employment, promotion, a specific salary outcome, or any other career result. Course content reflects the knowledge and practice current at the time of delivery; the field of AI development changes and content may become outdated after delivery.
Technical issues affecting access to live sessions (internet outages, platform failures) are outside Nyxlearn's control. We will make reasonable efforts to reschedule sessions affected by issues on our end.
10. Limitation of liability
To the fullest extent permitted by Malaysian law, Nyxlearn's total liability to a participant arising from or in connection with a programme is limited to the fees paid by that participant for the programme in question.
Nyxlearn is not liable for indirect, consequential, or incidental losses, including loss of profits, loss of data, or loss of business opportunity, even if advised of the possibility of such losses.
11. Indemnification
You agree to indemnify Nyxlearn against any claims, losses, or expenses arising from your breach of these terms, your misuse of Content, or your infringement of any third-party rights in connection with your participation in a programme.
12. Termination
Nyxlearn may terminate a participant's access to a programme immediately and without refund if the participant breaches these terms materially (including conduct or academic integrity breaches).
Sections 6, 9, 10, 11, and 13 survive termination of this Agreement.
13. Governing law and disputes
This Agreement is governed by the laws of Malaysia. Any dispute arising from this Agreement shall first be referred to informal negotiation between the parties. If unresolved within 30 days, disputes shall be referred to the courts of Malaysia, to whose jurisdiction both parties submit.
Consumer protection rights available under Malaysian law (including the Consumer Protection Act 1999 where applicable) are not affected by these terms.
14. General provisions
- Entire agreement: This Agreement, together with any scope document agreed for the Team Capability Programme, constitutes the entire agreement between the parties on the subject matter.
- Severability: If any provision is found to be unenforceable, the remaining provisions continue in force.
- Waiver: Failure by Nyxlearn to enforce any provision does not constitute a waiver of the right to enforce it in the future.
- Assignment: Nyxlearn may assign its rights under this Agreement on a change of ownership. Participants may not assign their enrolment to another person without Nyxlearn's written consent.
- Notices: Formal notices under this Agreement should be sent by email to [email protected].
15. Changes to these terms
Nyxlearn may update these terms. Changes will be posted on this page with an updated "Last updated" date. For programmes already in progress, the terms in force at the time of enrolment apply unless the participant agrees to the updated terms in writing.
